Scott has nearly 25 years of industry and consulting experience with public and private companies in a variety of industries including general manufacturing, health care and aerospace with an emphasis on corporate finance and acquisition and divestiture activities under leveraged capital structures. At present, Scott is concentrating his practice in business and financial restructuring and debt renegotiation for companies faced with the obstacles and opportunities presented by current market conditions.

Consulting

Scott is currently advising a group which owns or manages several public and private manufacturing companies with respect to their corporate finance and debt financing issues. In this capacity Scott teams with bankers and senior management to ensure that their funding arrangements are adequate to comply with their financial obligations. Given the current economic climate, Scott has been active in the renegotiation of terms of debt, as well as in devising a restructuring plan for operations that have been impacted by the downturn.

Industry

During his career, Scott has held various financial management positions, resulting in his current expertise in corporate finance and management activities as they relate to the bottom line and addressing other investor needs.

In his capacity as Vice President, CFO and Senior Operating Officer of a healthcare data management and accounts receivable management outsourcing company, Scott was responsible for operations, data processing and all financial functions. He was originally recruited as CFO to the company shortly after its start-up, and took responsibility for navigating the restructuring and repositioning of the company in when the original business plan became nonviable. In initiating the restructuring, he formulated and implemented the company's business plan, resulting in a quadrupling of revenues over two years. Subsequently, Scott's duties were expanded to include additional operating responsibilities, including the formulation and implementation and management of the data processing and workflow models that were the core of the company's service offering. At that time, he also negotiated and implemented strategic partnerships, including a highly profitable equity investment in a health care information systems company.

Prior to undertaking that role, Scott served in broad and varied financial leadership roles as a member of a management team that worked together across several public companies. These included a manufacturer of aerospace and automotive products with peak revenues of $900 million and a $2.3 billion distributor of laboratory supplies. With these two companies, Scott acted as treasurer, with responsibility for all corporate financing activities under leveraged capital structures; acquisition and divestiture evaluations, negotiation and execution; corporate treasury and risk management functions; pension fund management; rating agency relations; and investor relations support. In this capacity, Scott was instrumental in the sale of numerous divisions of one company, as well as the execution of public and private debt and equity offerings.

Scott also served as Director of Financial Projects for a diversified holding company, where he was responsible for corporate financing and acquisition and divestiture analysis as part of a multi-billion dollar asset redeployment program. In that capacity, he executed bank and high yield financings for a leveraged acquisition; restructured and renegotiated leveraged financing structures with multiple lending institutions; and was active in executing numerous IPOs, spin-offs, and divestitures as part of a planned corporate liquidation.

Scott also has significant project financing experience, having executed limited and non-recourse project financings both domestically and international.
